As part of the engagement, we conducted a comprehensive financial Due Diligence of Tasomix – one of Poland’s leading producers of feed and feed concentrates, operating for 35 years and employing over 500 professionals. Since 2018, the majority shareholder of Tasomix has been the international ForFarmers group headquartered in the Netherlands.
KPS Food Group is one of the larger players in the Polish poultry market. In 2025, the company generated approximately PLN 1,065 million in revenues and approximately PLN 195 million in EBITDA. The group operates seven poultry farms with a total capacity of approximately 3 million birds, a modern slaughterhouse in Radom, and a production facility in Pionki. In total, it employs around 2,000 people.
As a result of the transaction, a new entity – ForFarmers Polska – will be established, integrating KPS’s poultry production assets with Tasomix’s feed operations. The KPS (food segment) and Tasomix (feed segment) brands will continue to operate as separate brands within one integrated operational structure. ForFarmers will hold a 50.5% stake in the new company, while 49.5% will remain with the existing KPS shareholders – the Krzyżanowski and Sobczak families. The transaction includes a share exchange and corporate reorganisation.
The Enterprise Value of the newly created entity has been agreed at approximately PLN 2.2 billion (c. EUR 520 million), with approximately PLN 1.5 billion attributed to KPS and approximately PLN 0.7 billion to Tasomix. The final settlement between the parties will depend on the net debt levels of both companies at closing.
The JP Weber team, led by Piotr Dalak, ACA (Partner), and Piotr Buras (Manager), performed a detailed financial due diligence covering quality of revenues, EBITDA analysis, working capital, net debt and key financial risks, supporting the KPS owners throughout the transaction negotiation process.
Maciej Szałaj of Poland Corporate Finance acted as lead advisor to KPS – we thank him for the efficient and professional cooperation.
We congratulate the teams of KPS Food Group and Tasomix, as well as their shareholders, on creating one of the leading integrated players in the Polish poultry and feed sector. The new structure combines feed and poultry production in a vertically integrated model, providing a strong platform for further growth in Poland and the region.
