As part of a comprehensive buy-and-build strategy, the interdisciplinary JP Weber team provided support in the process of acquiring by PHI 60% of shares in Clima Komfort, consolidating the entities within the PHI group and their operational integration, as well as securing bank financing from ING Bank Śląski. Our advisory scope also included conducting financial and legal due diligence for the acquisition, full legal transaction support and all corporate matters, as well as coordinating cooperation with TPA Poland regarding tax due diligence.
With the establishment of Polski Holding Instalacyjny, an integrated organization was created with 30 years of experience, employing over 140 staff—including all project managers and key engineers—as well as more than 350 subcontractors. The group executes projects such as Poland’s largest oncology hospital—the Lower Silesian Center of Oncology, Pulmonology, and Hematology in Wrocław—and the comprehensive revitalization of the historic Bank Gospodarstwa Krajowego building in Warsaw.
This project is an excellent example of effective growth strategy implementation through acquisitions, while simultaneously integrating new entities into the existing operational structure and optimally leveraging local competencies and synergies, ultimately contributing to increased efficiency across the group.
